EQT Builds an Appalachian Super Producer with $13.8B Range Buy

byAndrew Dittmar

A lull in E&P corporate M&A ended with EQT announcing the all-stock acquisition of fellow Appalachian producer Range Resources at an enterprise value a bit under $14 billion. The transaction is the first public E&P combination in the U.S. since Devon Energy merged with Coterra Energy last February. The announcement also marks a relatively rare tie-up of companies focused on gas production. These E&Ps’ healthy inventory lives have meant they don’t have the same pressure to pursue deals as oil-focused counterparts. The last deal between large public gas producers took place in early 2024 when Chesapeake Energy and Southwestern Energy combined to form Expand Energy.

The combination between the two companies forms an Appalachian juggernaut with over 9 Bcfe/d of production, creating America’s largest gas producer. Both companies hold enviable inventory profiles with about 20 years of development potential. Quality is also high, with most locations able to generate a 10% return at less than $2.50/Mcf gas pricing. Opportunities for inventory expansion come from tighter spacing and Deep Utica drilling. Range has significantly more natural gas liquids production with liquids making up about 30% of its current production. Adding liquids exposure helps lower the cost of supply relative to gas prices and improves cash flow when gas struggles, as it has through 2026. That furthers EQT’s goal of being a highly resilient producer through cyclical commodity prices.

The real key to the transaction is scale, synergies and being an efficient gas supplier in an increasingly complex North America market. The transaction has a strong initial synergy guide of $325 million in baseline synergies. That includes the typical upstream operational efficiencies, development plan optimization and reduced corporate overhead. Investors have scrutinized deals for a good fit between assets and taken a more critical view of combinations that lacked clear operational synergies. This transaction clears that bar. The upside value creation comes from the better than $300 million in post-production value optimization. That includes integration with a midstream system that spans more than 3,700 miles of pipelines with the increased scale of production plus midstream integration positioning the company to sign contracts with in-basin gas users. Both EQT and Enverus Intelligence® Research see ~10 Bcf/d of incremental Appalachian demand and takeaway growth through 2035, supporting greater in-basin marketing opportunities. The companies’ scale, integration and investment-grade credit propel it towards being the counterparty of choice for end users.

In addition to seeking premium in basin pricing, the company will look to maintain an allocation of about 15% to LNG with a combination of offtake agreements and firm transport to the Gulf Coast. The overall control of increased upstream volumes and EQT’s infrastructure combined will make the combined company an efficient gas marketer for both domestic and international users. That shifts more production away from spot markets and towards contracted volumes. Moving more volumes away from in-basin pricing has the additional benefit of improving realizations for the volumes EQT does sell at the going rate in local markets.

The premium of 21% screens higher than what has been typically seen for public E&P deals but synergies and opportunities for resource expansion help justify the premium. While there is no near-term pressure for asset sales, incremental portfolio trimming is always a natural follow on for corporate M&A. The deal could set the stage for more consolidation among gas producers as others look to narrow the gap on scale and integration.
