U.S. upstream M&A markets notched more than $96 billion in 2019, for the highest annual total since $101 billion was recorded in 2014. However, 60% of that value came from one transaction when Occidental bought out Anadarko for $57 billion in the largest deal of the decade. Backing out that mega deal, 2019 saw $39 billion transact or just one-half of the $78 billion average over the last 10 years.
 
Putting a damper on M&A for much of the year, was tight capital markets for E&P companies and Wall Street’s insistence that they prioritize returns over growth. That also resulted in negative reactions to deals for buyer’s stock prices. The picture picked up a bit late in the year with a number of notable deals from Thanksgiving onward, including HighPeak’s rollup of companies for $1.6 billion to create a new Midland Basin pure-play, private equity sponsored Felix Energy II selling to WPX for $2.5 billion, and Devon checking off a longstanding goal by exiting the Barnett for $770 million. The rush of deals and fairly positive reactions on Wall Street instills some confidence for additional M&A in 2020.
